Every company has to pass several resolutions, issue various notices and frame agenda and minutes for its meetings on a regular basis. This book by K.V. Shanbhogue, which is now in its 7th edition, intends to help the occupied Company Secretary and his secretarial staff with ready made specimen of the various resolutions, notices, minutes and agenda. Every resolution starts with the subject, passing authority, nature of resolution, specimen of the resolution and guidelines related to the resolution. The new edition has been thoroughly revised and updated keeping in mind the Companies (Amendment) Act, 2002 and the Companies (Second Amendment) Act, 2002. The impact of the Guidelines, Circulars, Rules, Regulations and Notifications issued by SEBI and Department of Company Affairs have been extracted at appropriate places. Wherever relevant, the resolutions have been supported by Explanatory Statements.
